Special Terms and Conditions
Article 1 Definitions
1.1 CDN Technical Service (hereinafter referred to as "CDN Service" or "this Service"): refers to a service that distributes and accelerates the content of Internet websites, i.e., a service that uses technologies such as caching and load balancing to distribute the content of an Internet site to network nodes elsewhere so as to improve the response speed of the site and enhance the user experience. CDN Service provided by EdgeNext includes page acceleration, download acceleration, live broadcast acceleration, on-demand acceleration, upload acceleration, cloud storage, etc. Among them, cloud storage products are Internet-oriented object cloud storage services with Web service interfaces that can be used to store, read and write data.
1.2 Temporary Reservation Service Fee: refers to the service fee charged for your request to EdgeNext for temporary increase in bandwidth, traffic or other services, provided that such request shall be notified to EdgeNext in writing five (5) Working Days prior to the provision of the services and confirmed by EdgeNext. If you fail to use the above services as agreed by the Parties due to your reasons, you shall remain be liable to pay the agreed Temporary Reservation Service Fee to EdgeNext.
1.3 Cloud Storage Products - Storage Space: refers to the occupied space of the storage resources provided by EdgeNext for you to upload contents after the activation of EdgeNext Storage Service.
1.4 Cloud Storage Products - Traffic: refers to the bandwidth traffic generated by the data and content you download and store in EdgeNext server after the EdgeNext Storage Service is activated.
1.5 Cloud Storage Products - Number of Requests: refers to the number of operations you have performed on the data stored in the EdgeNext server after the EdgeNext Storage Service is activated, including but not limited to the number of upload, download, copy, delete and other operations.
Article 2 CDN Service
EdgeNext provides domain name and/or IP-based CDN content distribution acceleration and storage services to your website through its own CDN network, with a view to improving access to the main access areas within the network and enhancing the user access/usage experience of your website/mobile application.
Article 3 Service Activation and Billing
3.1 You can only purchase and use CDN services after CDN services have been activated.
3.2 When CDN services are activated, the default billing type is Traffic. Before using EdgeNext's CDN services (creating domain names, etc.), you will need to complete a pre-payment for the relevant products (including but not limited to traffic pack packages, etc.).
3.3 Any prepaid EdgeNext CDN services(including but not limited to traffic packages, etc.) are required to be fully used within the agreed period of the plan. If the agreed service period expires and you would like to continue using the service, your payment must be made within 24 hours to avoid interruption of your regular use. If you do not replenish your prepaid products (including but not limited to traffic pack packages, etc.) within 24 hours, EdgeNext will suspend the CDN service. For the excess amount of traffic out of your package, the bills will be calculated based on actual usage, and the applicable specific billing rules will be based on the billing instructions published on the EdgeNext website.
3.4 If the account balance is in arrears, EdgeNext will send the notification email and keep the services available for a buffer period of 24 hours. During this buffer period, any domain services that have already been created will not be suspended, while the traffic generated will still be billed to you.Also you will not be able to purchase any prepaid products (including but not limited to traffic packages, etc.), create new domain name services before the outstanding amount has been paid. If you failed to pay the outstanding bill over 24 hours, EdgeNext will automatically stop the CDN service. (Failure to discontinue the service does not mean we waive our right of recourse in this regard).
3.5 After the CDN service is stopped, all your domain names will be suspended and all corresponding access will be processed back to the source. At the same time, your CDN console will only have access to query operations, and you will not have the right to make configuration changes or other equivalent operations.
3.6 We reserve the right to change the fees for our services at any time at our sole discretion, and we will give you at least thirty (30) days' notice of such changes. Unless otherwise specified in the information provided, any changes to the fees will be effective immediately during the billing period following our notification.
3.7 You will be charged in full for any prepaid products you purchase (including but not limited to traffic pack packages etc.). No refunds will be provided for any unused part of the package within the agreed period.
Article 4 Your Rights and Obligations
4.1 You shall not create or use equipment or configuration to run programs or processes that are not related to the purchased Service, nor shall you intentionally write malicious code to cause a large use of the memory, CPU or network bandwidth resources of the EdgeNext Operating Platform server, bringing serious load to the network, servers (including but not limited to local, foreign and international networks, servers, etc.) and products/applications of EdgeNext Operating Platform or other users of EdgeNext, affecting the smooth connection between EdgeNext and the international Internet or between EdgeNext and specific networks, servers and EdgeNext's internal network, or, causing the server where EdgeNext Operating Platform or EdgeNext's other users' websites are located to be down or dead or the user's products/applications based on EdgeNext Operating Platform to be inaccessible, etc.
4.2 The domain name owner of your source site shall have obtained business qualifications or licenses recognized or approved by relevant state authorities, including but not limited to ICP filing, etc.; and you shall use the business within the scope of business applications agreed in this Agreement, and shall not use the Internet resources provided by EdgeNext to operate Internet services for which you are not qualified, and shall not use the Internet resources provided by EdgeNext to engage in illegal activities, and shall not use the Internet bandwidth in any way (this includes, but is not limited to, private fiber pulling for transit, establishing VPN tunnels, and other means) to provide penetration traffic access for other operators and interconnection units, etc.
Article 5 Service Availability
5.1 Definitions
5.1.1 Service Availability: refers to whether the content under the domain name of EdgeNext CDN Service can be accessed.
5.1.2 Service Available Time: refers to the time when the content under the domain name you specified can be accessed by your End User when your source server can be accessed by the EdgeNext Node Server.
5.1.3 Service Unavailable: refers to that the content under the domain name you specified cannot be accessed by your End User when your source server can be accessed by the EdgeNext Node Server.
5.1.4 Service Unavailable Time: refers to the time remaining after excluding the Service Available Time from the total Service Time.
5.1.5 Service Availability: CDN Service Availability is counted on a monthly basis, and days less than one month are counted by whole month. The statistics are for all domains under your account that have activated CDN Service (except for domains with less than 1 million requests per month), and are calculated based on (Total Hours for the Month - Service Unavailability Hours for the Month)/Total Hours for the Month x 100%.
5.2 Service Availability Assurance
5.2.1 EdgeNext assures that the "Service Availability" of the Service you purchased can reach 99.9%, that is, the Service Availability Time should account for 99.9% of the Total Service Time promised by EdgeNext.
5.2.2 EdgeNext may count the cumulative time when the Service is unavailable for you in each month upon your request. Service Unavailability Time refers to the time when the content under the domain name of the service you purchased cannot be accessed due to equipment failure, design defect or improper operation of EdgeNext, but it shall not include the Service Unavailability caused by the following reasons:
1)caused by the failure of your original website server or related network equipment;
2)EdgeNext Node Server’s failure to access your original server properly due to your modification of the original web server's configuration or DNS configuration without prior notice to EdgeNext;
3)caused by a hacker attack on your website;
4)caused by any network equipment failure or configuration adjustment other than EdgeNext equipment; and
5)caused by any exemption or force majeure.
5.2.3 If the availability of your CDN Service is less than 99.9% due to the reasons of EdgeNext, EdgeNext will calculate the base hourly rate of compensation based on the monthly fee of the month when the Service is unavailable and reduce your Service Fee by two times of the average hourly rate (i.e.: Reduction Amount = Service Unavailability Time × Service Unavailability Month Service Fee ÷ 720 x 2). However, the maximum monthly reductions are limited to the Service Fee for the month of the Service. You agree that EdgeNext shall not be liable to you for any damages other than the service fee for the paid period in which the incident occurred; for clarity, the foregoing indemnification is for the paid service only and is not covered for the free service.
5.2.4 In the event of a hacking attack on your website that poses an operational risk to EdgeNext Service Platform, you are obliged to inform EdgeNext of the foreseeable attack in a timely manner. EdgeNext may, upon written notice (by email or otherwise) to your technical director, temporarily switch the Service under this Agreement back to a server or specific IP address designated by you so as to protect the security of EdgeNext Operating Platform and to safeguard the interests of other clients. In case the risk cannot be avoided after taking the above measures, EdgeNext reserves the right to suspend the services provided to you, at which time both Party A and Party B shall further negotiate whether to continue or terminate the Agreement, and you will not be relieved of your payment obligations for the business that has been performed. If you notify EdgeNext in writing that the attack has ended and EdgeNext confirms that it is true, EdgeNext will cut the service back to the normal service state. You shall be liable for any damage caused to EdgeNext operating platform and the customers thereof due to hacker attacks on your website.
Article 6 Activation and Transfer-out Assurance
6.1 EdgeNext provides the following services according to your requirements:
6.1.1 Domain Hosting Service: EdgeNext provides resolution server service for the content under all the domain names of your designated website, and is responsible for providing you with the resolution of all the domain names under the domain and using the CDN Service provided by EdgeNext for the content under all the domain names of your designated website.
6.1.2 Specific (Designated) Subdomain Hosting Service: EdgeNext will only provide resolution server services for certain of the specified domain names in the total domain names of your specified website, and all other functions of your domain name resolution services will remain your responsibility. EdgeNext only provides CDN Service for content under the domain you specify.
6.2 Activation time assurance:
6.2.1 Domain Hosting Service: EdgeNext will complete all configurations for the Service within five (5) Working Days after you complete the appropriate configuration settings.
6.2.2 Specific (Designated) Subdomain Hosting Service: EdgeNext will complete all configurations for the Service within five (5) Working Days after you complete the appropriate configuration settings.
6.3 Secure Transfer Assurance: EdgeNext assures that after the expiration of your purchased service, ten (10) natural days will be reserved for you to make secure transfer-out.
Article 7 Statistical Data Report and Page Refresh Assurance
7.1 You may retrieve the corresponding statistics on the EdgeNext website through a dedicated account after using the Service. During the term of the agreement, EdgeNext will provide basic data queries for log analysis for the last six months, and bandwidth statistics for the last two years.
7.2 EdgeNext guarantees an upper limit of 30 times/minute refresh rate for your pages.
Article 8 Customer Service Assurance
8.1 EdgeNext Customer Service Support Center provides you with the following services:
8.1.1 acceptance and progress of initial installation work;
8.1.2 acceptance and progress of service change;
8.1.3 technical consultation;
8.1.4 service troubleshooting and progress;
8.1.5 acceptance and progress of service quality complaints; and
8.1.6 payment consultation and handling.
8.1.7 EdgeNext Customer Service Support Center has 7 days x 24 hours online QQ, email and after-sales service hotline to answer your questions.
8.2 To ensure customer security, you may be required to authenticate with a password when using the Customer Service Center.
8.3 Complaint handling
You may make complaints in writing or verbally about the quality of services provided by EdgeNext, about EdgeNext's customer service and technical support, and about EdgeNext's departments/levels of employees. EdgeNext has a dedicated complaint line (400-178-8338) to receive your complaints.
Article 9 Disclaimer
9.1 You acknowledge that it is your obligation and responsibility to back up your data. EdgeNext does not back up user data and does not assume any responsibility for user data backup efforts or results. You acknowledge that EdgeNext shall not be liable for the loss of data in the event of loss or destruction of data.
9.2 EdgeNext's caching of your data to improve user experience, network transmission efficiency, and access experience shall not be considered an infringement by EdgeNext.
9.3 You agree that EdgeNext shall not be liable for the unavailability of the Service due to the failure of your source site.
9.4 EdgeNext provides technical support as agreed in this Agreement, but is not liable for any impact or loss caused by you (including but not limited to code quality, man-made management oversight, internal security management, etc.).
9.5 EdgeNext will eliminate faults that occur as a result of your non-manipulated operation, except for matters that are due to your reasons and/or force majeure and are beyond EdgeNext's control.
9.6 EdgeNext is not liable for any impact on your business if the bandwidth of a cyber attack exceeds EdgeNext's capabilities or the mutually agreed protection range.
9.7 EdgeNext reserves the right to suppress traffic if an attack on your business affects the infrastructure of EdgeNext Cleaning Center. Once traffic suppression is performed, your business may be affected to some extent. For example, business access traffic may be limited or even black-holed. EdgeNext is not liable for any loss to your business as a result.
